Investec has advised Charterhouse on the acquisition of ESTYA – a French leading service provider specializing in electronic fire safety and security systems
About the deal
Founded in 1974 and headquartered in Ivry-sur-Seine, ESTYA is a French leading service provider specializing in electronic fire safety and security systems, with a comprehensive offer, from design and installation to preventive and curative maintenance.
ESTYA’s comprehensive range of services is based around four core business lines: electronic fire detection (fire detection, site safety, evacuation, etc.), smoke extraction and compartmentation (mechanical and natural smoke extraction, fire curtains, fire doors and fire dampers, etc.), gas detection and electronic security (intrusion detection, video surveillance, access control, etc.).
Through its unique expertise, ESTYA serves a diversified portfolio of 10,000+ B2B customers across the entire value chain, with a virtuous, highly predictable, regulation-driven and maintenance contract-based business model combining recurring maintenance revenue and re-occurring rehabilitation works.
Historically active in the Île-de-France region, ESTYA has gradually expanded, both organically and through acquisitions, throughout France, with the support of Chequers Capital, which acquired a majority stake through a primary LBO in 2021. ESTYA now leverages its national footprint with 19 locations across France.
Since 2021, under the leadership of Ludovic Goëta, ESTYA has experienced strong organic growth, outperforming the market average, and has become a recognized consolidation platform, with 6 acquisitions in 3 years and a proven capacity to integrate them and accelerate their growth post-acquisition.
Nearly four years after Chequers Capital became the majority shareholder, ESTYA has completed its second majority LBO, backed by Charterhouse, one of the longest-established private equity firms operating in Europe. Chequers Capital and the management are reinvesting in this new development phase. Through this new transaction, the Group is entering a new phase of its development, aiming to further consolidate its leading position in France and expand in selected European countries, identified as offering attractive growth potential. This will be achieved by accelerating external growth strategy both in France and Europe.
